These Terms govern use of www.growthcentrik.com and business services supplied by GrowthCentrik LLP (“GrowthCentrik”, “we”, “us” or “our”). Website users must follow the acceptable-use rules. Paid service obligations apply when a client accepts an agreement incorporating these Terms. Our clients engage us for business purposes, including where they are sole traders or partnerships.
GrowthCentrik provides services to cleaning businesses, including companies, sole traders and partnerships. Campaigns may target businesses or households, as agreed in the client’s proposal or service agreement.
The signed agreement will specify the services, fees, campaign scope and responsibilities of each party.
Services may include lead and appointment generation, advertising, websites and landing pages, SEO, CRM setup, automation, outreach, research, enrichment and reporting. Work outside the agreed scope requires written agreement.
Initial US campaigns exclude California residents. Clients must not request California targeting or provide California contact lists for campaign use. A change to this scope requires a written agreement and the necessary compliance arrangements before launch.
Service engagements begin only after the client accepts a proposal, order form or service agreement incorporating these Terms. Requesting a proposal alone does not create a paid engagement.
Mandatory data protection and transfer terms take precedence for data protection matters. For other matters, the signed service agreement takes precedence over these Terms. An agreed written amendment takes precedence over the provision it expressly changes.
Changes posted on the website do not automatically amend an existing engagement.
Acceptance may be by signature or a clear electronic acceptance that can be recorded. A person accepting for a business confirms authority to bind it. The client must retain a copy of the accepted terms.
The definition of a valid lead or appointment, including qualification criteria and pricing, must be agreed in writing before the campaign starts.
Only outcomes meeting those criteria are billable. An outcome is not invalid solely because the prospect later declines to buy, provided it met the agreed criteria.
The agreement must identify the relevant geography, service needs, contact criteria, appointment requirements, pricing and any exclusions. No sale, revenue or conversion is guaranteed unless expressly agreed in writing.
GrowthCentrik is not responsible for the consequences of delayed or inadequate client follow-up.
The client must provide accurate claims, offers and business information, and must have the necessary rights and permissions for data and materials it supplies.
GrowthCentrik is responsible for complying with legal requirements applicable to its own campaign activities. Neither party may instruct the other to carry out unlawful marketing or data processing.
GrowthCentrik may refuse or suspend activities that it reasonably believes are unlawful or breach platform requirements.
Where legally required, binding data processing terms and transfer safeguards must be in place before processing begins. GrowthCentrik processes client-controlled information under documented instructions and may refuse unlawful instructions.
GrowthCentrik may refuse or suspend campaigns involving unlawful, fraudulent, deceptive or materially misleading activities, prohibited products or services, fake reviews, unlawful data acquisition, unlawful communications, circumvention of privacy or marketing requirements, or other activities that create material legal, security or reputational risk.
Clients must not knowingly provide sensitive personal information to GrowthCentrik unless specifically required for an agreed service and supported by an appropriate lawful basis and safeguards.
Unless expressly stated otherwise, advertising spend paid to third-party advertising platforms is separate from GrowthCentrik’s service fees. Advertising platforms may include Google, Meta, LinkedIn, Microsoft, TikTok and other advertising networks.
GrowthCentrik does not control advertising platform policies, auction prices, availability, algorithm changes, account suspensions, platform outages, ad approvals, targeting capabilities or platform performance.
Performance can be affected by market conditions, competition, pricing, client sales processes, seasonality, platform changes and customer behaviour. The service standard and limits on results promises are stated in section 23.
Pay-per-lead, pay-per-appointment and other outcome-based services are governed by the written qualification criteria and pricing. GrowthCentrik will keep reasonable evidence supporting billable outcomes. Disputes are reviewed against the agreed criteria, rather than decided solely at GrowthCentrik’s discretion.
The client must dispute an appointment within seven calendar days after its scheduled date. The dispute must identify the appointment, explain which agreed criterion was not met, and include supporting evidence, such as a lawfully obtained call recording, rejection email or other reliable record.
GrowthCentrik will review the evidence against the agreed criteria. Invalid outcomes will not be billed. If already billed, they will be removed from an unpaid invoice or credited against amounts paid.
Unless required by law or otherwise agreed in writing, outcomes not disputed within this period will be treated as accepted for billing purposes.
For a lead without a scheduled appointment, the client must dispute it within seven calendar days after delivery, unless the signed agreement sets a different period. This does not shorten the appointment dispute period.
If a prospect misses a scheduled appointment and the client attended and was available, GrowthCentrik will provide a replacement meeting the agreed criteria at no additional appointment fee. The client must report the no-show within seven calendar days after the scheduled date and provide reasonable evidence.
Protection does not apply if the client missed the appointment, was unavailable or caused it not to proceed. A rescheduled appointment that takes place does not also qualify for replacement.
The replacement appointment must take place within 30 calendar days after the client reports the qualifying no-show. If the replacement also no-shows, the same protection applies, but the original 30-day deadline does not restart. Client-caused delays extend the deadline only by the period reasonably attributable to those delays.
If no qualifying replacement takes place within that period, the appointment fee is removed from an unpaid invoice or refunded if already paid, unless the client agrees in writing to a later appointment. Any refund is made within 30 calendar days after the replacement deadline.
If the engagement ends first, the client may agree to receive the replacement after termination. Otherwise the fee is refunded or deducted from the final invoice.
Where agreed, clients pre-fund services or advertising. Funds may be applied only to the agreed campaign, scope and spending limits and cannot be transferred between clients. GrowthCentrik will provide reasonable records of charges and balances.
Within 30 calendar days after the engagement ends, GrowthCentrik will provide a final account and refund the unused prepaid balance after deducting: (a) unpaid amounts properly due for services already delivered; and (b) third-party costs approved by the client that have been incurred or cannot be cancelled.
Deductions must be itemised and must not be counted twice. Approved advertising budgets cover spending within those limits. Additional commitments require written approval.
Refunds are made in the original payment currency wherever practicable. GrowthCentrik bears its own refund processing costs; the client bears charges imposed by its receiving bank and any exchange-rate differences, except where law requires otherwise. Third-party costs are refundable only to the extent recovered from the provider. Mandatory refund rights remain unaffected.
Fees, currency, due dates, payment methods and applicable taxes will be stated in the accepted agreement or invoice. Advertising spend and third-party charges are separate unless expressly included.
The client must pay undisputed amounts when due. Any payment processing charges must be disclosed before acceptance. GrowthCentrik may suspend for overdue payment after written notice and a reasonable opportunity to pay.
Completed services are not refundable merely because they did not produce a sale. Invalid outcomes, no-show remedies, unused funds and refunds required by law are governed by these Terms and the signed agreement.
Services may use advertising, CRM, analytics, enrichment, hosting, communication and scheduling providers. Their policies, outages, restrictions and account decisions can affect delivery. The responsibilities and limitations relating to these services are stated in section 22.
The client must have authority to grant access to its systems. GrowthCentrik may use that access only for authorised services and must protect credentials and permissions under its control.
The client remains responsible for its own administrator access and security settings. Account ownership and handover are addressed in section 16.
Where GrowthCentrik develops websites, landing pages or related digital assets, the scope will be defined in the applicable agreement. Unless otherwise agreed, the client is responsible for accurate business information and final approval of content. Third-party domain, hosting, plugin, software or licensing costs may be charged separately. Search rankings and traffic are not guaranteed.
After full payment for the relevant work, the client owns the deliverables specifically created for it, including commissioned website content, designs, copy and advertising creatives.
GrowthCentrik retains its pre-existing tools, templates, methods, frameworks and reusable code. Where these are included in a paid deliverable, the client receives a perpetual, worldwide, non-exclusive licence to use, modify and maintain them as part of that deliverable, engage third parties to do so, and transfer the licence with the deliverable. This does not permit separate resale of GrowthCentrik’s underlying tools or templates.
Third-party materials remain subject to their own licences.
Client domains, advertising accounts and campaign records will be held in client-controlled accounts wherever practicable. GrowthCentrik will provide the agreed files and access handover when the engagement ends, subject to payment for the relevant deliverables.
The client retains its supplied materials and grants GrowthCentrik permission to use them only for the agreed services. GrowthCentrik will obtain the rights needed to provide the ownership and licences promised in this section.
Exclusive lead delivery means GrowthCentrik will not supply the same generated lead to another client or reuse it for another client’s campaign. A prospect remains free to contact other businesses.
The client must ensure that supplied product claims, prices and offers are accurate and lawful. GrowthCentrik must comply with requirements applicable to its own advertising and outreach activities.
Email and live-call campaigns must follow applicable permission, identification, unsubscribe and do-not-call requirements. Neither public contact details nor acceptance of these Terms constitutes a prospect’s consent. Neither party may require unlawful communications.
Each party remains responsible for its own legal obligations. The scope of professional advice is addressed in section 21.
For US calling, applicable screening must cover the National Do Not Call Registry, relevant state registries and client or GrowthCentrik suppression lists. Calls may proceed only where lawful, including any applicable permission or exception. The parties must agree who carries out screening and maintains the required records before launch.
You agree not to use GrowthCentrik services to conduct unlawful activities, promote fraudulent products or services, distribute malware, engage in deceptive practices, violate advertising laws, violate privacy or data protection laws, infringe intellectual property rights, send prohibited communications, harass or threaten individuals, misrepresent your identity or business, circumvent security controls, or attempt unauthorised access to systems.
We may suspend services where we reasonably believe they are being used unlawfully or in a manner that creates material risk to GrowthCentrik, its clients, service providers or other parties.
Each party must protect the other’s confidential information with reasonable care, use it only for the engagement, and disclose it only to people who need it and are bound by confidentiality duties.
Confidential information excludes information lawfully public, already known without restriction, independently developed or lawfully received from another source. Required disclosure is permitted, with advance notice where lawful and practicable.
On termination or request, confidential information must be returned or deleted, subject to necessary legal retention and protected backups. These duties continue for three years after termination; trade secrets remain protected while they remain trade secrets. Personal information remains subject to applicable data protection duties.
Our Privacy Policy explains our handling of personal information. It is a privacy notice, not consent for all processing or a substitute for required client data processing terms.
Where we act as processor or service provider, binding terms must cover documented instructions, confidentiality, security, subprocessors, incident reporting, assistance with rights and compliance, audits, and return or deletion where required by law. Applicable transfer safeguards must also be in place.
Where the parties act as separate controllers, they must agree in writing the permitted information, disclosure purposes, legal grounds, required notices, security, retention, rights handling and transfer safeguards before sharing. Each party remains responsible for its own processing and must not use the information beyond the agreed lawful purposes.
Where the parties jointly determine purposes and essential means, they must agree a joint-controller arrangement before processing. It must allocate responsibility for notices, rights requests, security, incidents and other applicable duties, identify a contact point, and make its essence available to affected individuals. It must not restrict individuals’ right to exercise applicable rights against either controller.
These role terms may be included in the signed agreement or a referenced schedule. A service label, account ownership or client approval does not replace the required terms or determine a role contrary to the actual processing.
GrowthCentrik provides marketing and business growth services. Unless expressly agreed otherwise, our services do not constitute legal, tax, accounting, financial, regulatory, cybersecurity certification, or compliance advice. You should obtain professional advice where required.
Third-party services have their own terms and policies. GrowthCentrik cannot guarantee their availability, decisions or performance. This does not exclude responsibility for GrowthCentrik’s own breach, negligent configuration or failure to use reasonable professional care.
GrowthCentrik or its licensors own the content of this website. You may view and use it for legitimate business enquiries. You may not copy, republish, sell or exploit it commercially without permission, except as allowed by law.
Website information is general information and is not a personalised promise of results or a substitute for an accepted service agreement. We use reasonable care to keep it accurate but do not guarantee that every page is complete or current. Mandatory rights remain unaffected.
GrowthCentrik will use reasonable professional care and skill to deliver the agreed services. Availability and results may depend on market conditions, client responsiveness and third-party platforms.
No specific sales, revenue, rankings, approvals or campaign results are guaranteed unless expressly agreed in writing. This does not override agreed qualification criteria, invalid-outcome protections or no-show remedies.
Nothing in these Terms excludes rights or guarantees that cannot legally be excluded.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss. GrowthCentrik is also not liable for lost profits, revenue, opportunities or anticipated savings, whether direct or indirect, to the extent that exclusion is lawful.
GrowthCentrik’s total liability arising out of an engagement, including under any indemnity it expressly gives, is limited to the service fees paid or payable for that engagement during the 12 months before the event giving rise to the claim. Service fees exclude taxes, advertising spend and third-party pass-through costs. Connected claims arising from the same event are treated together.
This section does not limit liability for fraud, fraudulent misrepresentation, or other liability that cannot lawfully be limited or excluded. It does not limit the return of unused client funds or agreed credits and refunds, and does not restrict an individual’s statutory privacy rights or a regulator’s powers. Mandatory processing and transfer terms prevail where they require otherwise.
To the extent permitted by law, the client will indemnify GrowthCentrik and its partners, employees and contractors against third-party claims and reasonable costs caused by unlawful client-supplied content or data, infringement by client-supplied materials, unlawful client instructions, or the client’s material breach of these Terms.
The indemnity applies only to the extent the claim is caused by the client’s conduct and does not cover GrowthCentrik’s own breach, negligence or unlawful acts. GrowthCentrik must promptly notify the client, allow reasonable control of the defence, and provide reasonable cooperation. Delay in notice reduces liability only to the extent it prejudices the defence.
No settlement may admit fault for, impose obligations on, or restrict the other party without its written consent, which must not be unreasonably withheld. This indemnity is separate from the cap on GrowthCentrik’s liability.
Either party may terminate the engagement at any time by giving 30 calendar days’ written notice to the other party’s designated email address.
Services and billing continue during the notice period under the agreed scope, pricing and spending limits. GrowthCentrik will not incur commitments extending beyond termination without the client’s written approval.
GrowthCentrik may suspend services immediately where continued activity would be unlawful or create a material security risk. It may also suspend services for overdue payment after written notice and a reasonable opportunity to pay.
Either party may terminate for a material breach that is not remedied within 14 calendar days after written notice specifying the breach. Termination may be immediate for an unlawful activity or a serious breach that cannot be remedied.
At termination, GrowthCentrik stops further services and spending, provides the final account and agreed handover, and returns or deletes client data as required by the agreement and law. Payment obligations already incurred remain due. Ownership, confidentiality, liability, refunds, data protection and dispute provisions survive as needed to give them effect.
Neither party is responsible for delay or failure caused by an event genuinely beyond its reasonable control, provided it promptly informs the other party and takes reasonable steps to reduce the effects. Failure to use reasonable security or comply with platform rules does not become an excuse merely because an incident or restriction occurred.
The affected obligations are suspended only to the extent and duration necessary. If the event prevents material service delivery for more than 30 calendar days, either party may terminate by written notice. Accrued payments and unused-fund refunds remain subject to these Terms.
These Terms are governed by Indian law. The competent courts in Gautam Buddh Nagar, Uttar Pradesh, India have exclusive jurisdiction, except where mandatory law requires otherwise or the signed agreement provides a different dispute process.
Before starting proceedings, the parties will attempt to resolve the dispute through their designated contacts for 30 calendar days after written notice. This does not prevent urgent relief or action needed to preserve a legal deadline. Mandatory statutory rights remain unaffected.
We may update website terms prospectively and show the revised date. Posting an update does not automatically change an existing engagement. Changes to an engagement require recorded agreement unless an accepted agreement expressly provides a lawful change procedure.
Notices must be emailed to the addresses designated in the agreement. GrowthCentrik’s default address is contact[at]growthcentrik.com. A notice is treated as received on the next business day after sending, unless the sender receives a delivery failure or the recipient establishes that it was not delivered. A business day excludes weekends and public holidays at the recipient’s location. Each party must keep its contact details current.
If a provision is unlawful or unenforceable, it is severed or narrowed only to the extent legally permitted. The remaining provisions continue to apply.
The accepted proposal, statement of work or service agreement, these Terms, and applicable data processing and transfer terms form the agreement for the services. Their order of precedence is stated in section 2. Nothing excludes liability for fraud or rights that cannot lawfully be excluded.
The parties are independent contractors. Neither can bind the other or claim a partnership, employment or agency relationship.
GrowthCentrik may use qualified subcontractors while remaining responsible for the agreed services. Subprocessors remain subject to applicable approval and data protection requirements.
Neither party may transfer the agreement without written consent, which must not be unreasonably withheld. Either party may transfer it to a successor in a merger or sale of the relevant business on written notice, provided the successor assumes the obligations and the transfer complies with applicable data protection requirements.
Failure or delay in enforcing a right is not a waiver. Except for rights that cannot legally be excluded, these Terms do not give third parties a right to enforce them, including under the UK Contracts (Rights of Third Parties) Act 1999.
GrowthCentrik will obtain the client’s written permission before using its name, logo or identifiable campaign results in publicity or a case study.
